Terms of Service

1. Agreement and eligibility

These Terms are an agreement between you and Onoex LLC, a United States limited liability company, for the Kiweely website, account services, desktop software, updates, and support (together, the “Service”). By creating an account, starting a trial, downloading, or using the Service, you accept these Terms. If you act for an organization, you represent that you can bind it.

You must be legally able to contract and at least 18 years old. The Service is not for children.

2. Your account

Google Identity Platform handles sign-in credentials; Auth0 remains only during the migration fallback period. You are responsible for protecting identity-provider, email, browser-session, Mac, ChatGPT, and Workday access under your control. Tell us promptly about suspected unauthorized use. Email is contact information and can change; Kiweely uses provider subjects and an internal account reference as account identity.

You may use one individual account for yourself across your personal Macs. Do not share, resell, transfer, or automate access for another person.

3. Personal plan, trial, and payment

There is no annual, seat, usage, coupon, or token-metered plan. Stripe calculates tax from your billing information. You authorize recurring charges and must keep payment information current. Your account page shows exact trial, renewal, cancellation, grace, and access-end dates. Stripe invoices/receipts are the payment record.

Cancellation takes effect at the displayed trial or billing-period end unless law requires otherwise. See the Refund and Cancellation Policy.

4. Personal software license

While your trial or paid access is valid, Onoex LLC grants you a limited, revocable, non-exclusive, non-transferable right to install and use Kiweely for your own professional work on your own supported personal Macs. We retain all rights in the Service, branding, code, documentation, and release artifacts except rights expressly granted here.

Each installation uses a distinct cryptographic key and a signed lease that expires after no more than 72 hours offline and never crosses the commercial access boundary. Account-wide sign-out prevents future lease renewal. Do not bypass signatures, leases, access controls, or update integrity.

5. Your work and connected services

You keep rights to your prompts, Workday configuration, generated apps, files, and other content (“Customer Content”). You grant Onoex LLC only the rights reasonably needed to operate, secure, support, and improve the Service for you. You are responsible for authorization, legality, accuracy, backups, testing, approvals, and changes made in your Workday tenants or other systems.

Kiweely is independent from Workday and OpenAI/ChatGPT. Your separate terms with those and other connected providers govern their services. Kiweely does not sell ChatGPT usage and does not guarantee a third party will remain available or accept a generated result.

6. Acceptable use

You must not use the Service to:

• break law, sanctions, export controls, privacy, intellectual-property, or access rules;
• access a tenant, account, data, or system without authority;
• introduce malware, overload, probe, scrape, or disrupt the Service;
• circumvent billing, authentication, installation, lease, release, or security controls;
• misrepresent generated or unverified output as accepted by Workday or another party; or
• reverse engineer except where law expressly permits and cannot be waived.

7. Changes, availability, and suspension

We may improve, replace, or discontinue features and publish signed updates. We aim to keep the Service available but do not promise uninterrupted operation. We may suspend Checkout, new installation authorization, an account, or unsafe activity to protect customers, comply with law, address payment/fraud, or respond to security incidents. Existing signed offline access remains bounded by its lease.

8. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Onoex LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that generated code is correct, compliant, fit for your tenant, or accepted by Workday. You must review, validate, test, and approve before publication or production use. These disclaimers do not limit non-waivable consumer rights.

9. Limitation of liability

To the maximum extent permitted by law, Onoex LLC and its suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits/revenue/data, business interruption, or third-party service failure. Our aggregate liability arising from the Service will not exceed the greater of $100 USD or amounts you paid Onoex LLC for Kiweely in the 12 months before the event. This does not exclude liability that law does not allow us to exclude.

10. Termination and data

You may cancel and request account deletion. We may terminate for material breach, fraud, unlawful use, security risk, or where continued service is legally impossible. Provisions that by nature should survive—including payment, ownership, disclaimers, liability, and disputes—do survive. Data handling after termination follows the Privacy Notice and legal retention duties.

11. Governing law and notices

These Terms are governed by the laws of California, United States, without its conflict-of-laws rules. Mandatory consumer law and any non-waivable forum rights continue to apply.

Legal notices to Onoex LLC may be sent to support@kiweely.com or 548 Market St, San Francisco, California 94104-5401. We may send notices to your account email. Updated Terms will show a new effective date; material changes receive reasonable notice where required.
